1. Agreement to Terms

By accessing or using the website at startsmart-it.com (the “Site”) or purchasing any services or digital products offered by StartSmart IT (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, please do not use our Site or purchase our products.

2. Services Offered

StartSmart IT provides the following services to small businesses and entrepreneurs:

• Domain registration and professional business email setup 
• Microsoft 365 and Google Workspace configuration 
• Google My Business and Yelp business listing setup 
• IT infrastructure consulting and managed IT services 
• Digital products including the “From Chaos to Clarity” workbook program

The specific scope, deliverables, and timeline for any service engagement will be outlined in a separate service agreement or proposal provided to you prior to commencement of work.

3. Digital Products

3.1 License

 Upon purchase of any digital product, including the From Chaos to Clarity workbook, you are granted a non-exclusive, non-transferable, personal license to use the product for your own internal business purposes. You may not resell, redistribute, share, copy, or create derivative works from any digital product without prior written consent from StartSmart IT.

3.2 Delivery

Digital products are delivered electronically upon confirmed payment. You will receive access or a download link via the email address provided at checkout. It is your responsibility to provide a valid email address.

3.3 No Refunds on Digital Products

Due to the immediate and irreversible nature of digital product delivery, all sales of digital products are final. No refunds will be issued once a digital product has been delivered or accessed. If you experience a technical issue preventing access to your purchase, please contact us at support@startsmart-it.com and we will work to resolve the issue promptly.

4. Payment Terms

All prices are listed in US Dollars (USD). Payment is due in full at the time of purchase for digital products, and per the terms outlined in your service agreement for consulting or managed IT services. StartSmart IT reserves the right to change pricing at any time. Price changes will not affect purchases already completed.

5. Managed IT Services

For clients enrolled in ongoing managed IT services, the specific terms, service level expectations, payment schedule, and termination procedures are governed by a separate Managed Services Agreement provided at the time of engagement. In the event of any conflict between these Terms and a signed service agreement, the service agreement shall control.

6. Intellectual Property

All content on this Site, including but not limited to text, graphics, logos, workbook materials, templates, and worksheets, is the property of StartSmart IT and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from any content without our express written permission.

7. Disclaimer of Warranties

StartSmart IT’s services and digital products are provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the accuracy, reliability, completeness, or fitness for a particular purpose of our services or products. We do not guarantee that our services will meet your specific business requirements or produce specific outcomes.

8. Limitation of Liability

To the maximum extent permitted by applicable law, StartSmart IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services or digital products, even if we have been advised of the possibility of such damages. Our total liability to you for any claim arising from these Terms or our services shall not exceed the amount paid by you to StartSmart IT in the three (3) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless StartSmart IT, its owners, employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of our services, your violation of these Terms, or your infringement of any third-party rights.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Ohio, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Hamilton County, Ohio.

11. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be posted on this page with an updated effective date. Your continued use of our Site or services after any changes constitutes your acceptance of the revised Terms.
